3. Engagement and Payments

3.1. Engagements are confirmed upon receipt of a signed agreement or contract outlining the scope of work.
3.2. Invoices will be issued as per the agreed-upon payment schedule in the contract. Payments are due within 30 days of invoice issuance unless otherwise specified.
3.3. Cancellations must be made in writing. Refunds for prepaid services are subject to terms outlined in the specific service agreement.

4. Client Responsibilities

4.1. The client is responsible for providing accurate and timely information necessary for the successful completion of services.
4.2. The client must ensure access to their systems, facilities, or personnel as required for service delivery.
4.3. The Company reserves the right to suspend or terminate services if client cooperation is insufficient or conditions are unsuitable for service execution.

5. Intellectual Property and Usage Rights

5.1. Any deliverables provided by the Company remain its intellectual property until full payment has been received.
5.2. Upon full payment, clients are granted a non-exclusive license to use deliverables for their internal business purposes.
5.3. The Company retains the right to use anonymized project details or case studies for marketing purposes unless otherwise specified in writing by the client.

6. Privacy Policy

6.1. We collect and store personal and business information solely for the purpose of providing our services and communicating with clients.
6.2. We do not sell or share personal information with third parties, except as required by law or with your explicit consent.

7. Liability and Indemnification

7.1. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services.
7.2. The client agrees to indemnify and hold Cosmic Groove Consulting, LLC harmless from any claims, damages, losses, or expenses arising out of their use of our services or failure to comply with these Terms of Service.

8. Service Availability and Quality

8.1. While we strive to provide uninterrupted service delivery, we cannot guarantee against delays or disruptions caused by unforeseen circumstances such as technical failures or external factors beyond our control.
8.2. In the event of service disruption caused by the Company’s negligence, liability is limited to a refund of fees paid for the affected period.

9. Modifications to Terms of Service

We reserve the right to modify these Terms of Service at any time without prior notice unless otherwise required by law. Clients will be notified of significant changes, and continued use of our services after such modifications constitutes acceptance of the updated terms.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law provisions.
